TERMS & CONDITIONS
By engaging our studio for design, fabrication, installation, consultation, project management, artwork, sculpture, signage, or related services, you agree to the following Terms & Conditions.
CUSTOM WORK & FINAL SALES
All custom artwork, fabrication, design services, signage, installations, commissions, and made-to-order projects are created specifically for each client.
Because of the custom nature of our work:
• All deposits are non-refundable once design, engineering, fabrication, procurement, or production has commenced.
• All custom orders, fabricated works, commissioned artwork, and design services are final sale.
• No refunds, returns, exchanges, or cancellations will be accepted once fabrication or production has begun.
• Any project changes requested after approval may result in additional fees, revised timelines, and updated proposals.
CLIENT APPROVAL
Clients are responsible for reviewing and approving all project documentation prior to fabrication, including but not limited to:
• Drawings
• Renderings
• Material selections
• Finishes
• Colors
• Dimensions
• Specifications
• Engineering details
• Installation methods
Written approval constitutes acceptance of all project specifications. Any errors, omissions, modifications, or changes identified after approval become the responsibility of the client and may require additional charges to correct.
SERVICES POLICY
Consultation, design, engineering, project management, site visits, installation, repair, troubleshooting, administrative work, and professional services are billed for time and expertise rendered.
All service fees are final and non-refundable once services have been performed.
CLIENT-SUPPLIED MATERIALS & THIRD-PARTY PRODUCTS
Clients may elect to provide products, materials, components, fixtures, lighting, signage, electronics, hardware, artwork, or other items for incorporation into a project.
Our studio makes no warranty, guarantee, or representation regarding the performance, quality, durability, structural integrity, safety, compatibility, electrical operation, code compliance, maintenance requirements, or future functionality of any client-supplied or third-party item.
Our responsibility is limited solely to the labor and services specifically outlined in the approved proposal.
Any defects, failures, manufacturing issues, maintenance concerns, electrical problems, shipping damage, installation damage, or operational issues associated with third-party products remain the responsibility of the original manufacturer, supplier, installer, shipper, or client.
THIRD-PARTY INSTALLATION
When installation is performed by any party other than our studio, we assume no responsibility for:
• Installation methods
• Structural attachment
• Electrical connections
• Code compliance
• Engineering review
• Handling practices
• Transportation methods
• Environmental conditions
• Future maintenance
• Damage occurring during or after installation
The client assumes all responsibility for selecting and managing third-party installers.
SHIPPING, CRATING & TRANSPORTATION
Upon release of a completed project to:
• The client
• A freight carrier
• A shipping company
• A crate provider
• A receiver
• An installer
• Any client-designated representative
all risk of loss transfers to the client.
Our studio shall not be responsible for loss, theft, breakage, cracking, electrical failure, structural damage, finish damage, moisture damage, environmental exposure, mishandling, transportation damage, storage damage, or installation-related damage occurring after a project leaves our possession or control.
Clients using third-party shipping, crating, transportation, receiving, storage, or installation services do so at their own risk.
DELIVERY & ACCEPTANCE
Clients are responsible for inspecting all work upon delivery, pickup, or installation.
Acceptance of delivery constitutes acknowledgment that the project was received in satisfactory condition unless written notice of visible damage is provided at the time of delivery.
WARRANTY DISCLAIMER
Unless expressly provided in writing, all artwork, fabricated products, installations, and services are provided "AS IS."
Our studio disclaims all express and implied warranties, including but not limited to warranties of merchantability and fitness for a particular purpose.
Natural aging, weathering, oxidation, fading, material movement, environmental exposure, misuse, abuse, neglect, vandalism, improper maintenance, improper installation, or acts of nature are not covered under any warranty.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, our studio's total liability for any claim arising out of any project, product, service, installation, or transaction shall not exceed the amount actually paid to our studio for the specific services or products giving rise to the claim.
Under no circumstances shall our studio be liable for:
• Indirect damages
• Consequential damages
• Special damages
• Incidental damages
• Punitive damages
• Lost profits
• Lost revenue
• Business interruption
• Loss of use
• Replacement costs incurred by third parties
This limitation applies regardless of the legal theory asserted, whether based in contract, warranty, negligence, tort, strict liability, or otherwise.
INDEMNIFICATION
Clients agree to indemnify, defend, and hold harmless our studio, its owners, employees, contractors, and representatives from any claims, damages, liabilities, costs, expenses, or attorney fees arising from:
• Client-supplied products or materials
• Third-party installation
• Third-party shipping or handling
• Misuse of completed work
• Modifications made after completion
• Failure to properly maintain installed work
FORCE MAJEURE
Our studio shall not be responsible for delays or failures resulting from events beyond our reasonable control, including but not limited to weather events, natural disasters, labor shortages, transportation disruptions, material shortages, supplier delays, government actions, utility interruptions, pandemics, or other unforeseen circumstances.
GOVERNING LAW
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the state in which our studio operates.
SEVERABILITY
If any provision of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
